R. Schubert representing Uncoiled Loops Productions [herein called "Uncoiled Loops"], has agreed to compile the compilation CD with the working title of "Dubstep comp".

_________________ of (band/music artist)_______________[herein called "Writer"]  has agreed to supply (track name)___________________ [herein called "Song"], in which Writer possesses all rights in, and the full and exclusive ownership of the said master recording.  Writer represents and warrants it owns the full mechanical license of this Song.


The Writer hereby licenses non-exclusive rights to the Song for the sole purpose of printing up to 500 Compact discs (CDs or CDrs, herein called "CDs") for the full term of copyright, including renewal and extension, for the entire world.  

Writer further represents and warrants it has the full right, power and authority to enter into and to perform this agreement, and it has not granted and it will not grant or attempt to grant to any other person, firm or corporation, rights of any kind inconsistent with the aforesaid grant and which rights would derogate from the rights granted to Uncoiled Loops hereunder.

For Song, Writer additionally grants the non-exclusive rights to**:
1)	Reproduce and convert Song into Digital Masters for unlimited digital sales at any price
2)	Promote, sell, distribute, and deliver Digital Masters and associated metadata to purchasers 
3)	Use and authorize others to license the use of and sale of Song in connection with all manner of phone services, such as, but not limited to, sales or licenses of Digital Masters as downloads (including, without limitation, downloads to cell phones) and for use as ringtones and ringback tones
4)	Use so-called "kiosks" to distribute, market and promote Digital Masters, including, without limitation, by allowing the burning of CD copies of any Digital Master or by allowing a copy of a Digital Master to be transferred to personal devices;
5)	Use and authorize others to allow copies of a Digital Master to be distributed as so-called "conditional" downloads, whether tethered to a device, time limited, play limited or otherwise
6)	Use and distribute Copyright Management Information as embodied in a Digital Master

Uncoiled Loops may sub-license these rights. 

Digital Master license can be revoked at the Writers request at the end of the minimum 21 month digital exploitation period. The request must be made in writing (email or post) and can occur any time after 18 months, and Uncoiled loops will have 3 months to remove Song from digital distribution. Uncoiled loops reserves the right to remove any or all Songs from digital distribution at any time prior to request by any Writer.


If selected:
a) Uncoiled Loops agrees to include the Song in production of up to 500 CDs

b) Uncoiled Loops agrees to provide ____ CDs to the Writer for $3.50 (USD) each plus $2 domestic shipping ($ ____ Total)* which will be allowed for resale at any price without any compensation (including any royalties) to any other involved Writer, Label or Uncoiled Loops.  

c) The Writer agrees to allow the use of the recorded work for manufacturing and the eventual resale of up to 500 CDs and unlimited digital masters during the exploitation period.

d) Uncoiled loops agrees to provide Writer 50% of net profits which includes all royalties (mechanical and othewise), multiplied by a fraction, the numerator which will be the number of tracks by the Writer for the CD, the denominator being the total number of tracks on the CD.  Royalties due to the Writer must exceed $20 (USD) and accept paypal to receive payment.



The Writer will assume any and all liabilities regarding violations or infringements upon the rights of any third party (created by the Writer), and provide Uncoiled Loops and/or other involved Writers release from and assist in providing release from any and all liabilities and investigations regarding violations or infringements upon the rights of any third party.

Uncoiled Loops and other involved parties reserve the right to use and allow others to use the name, likeness, biography, and short portions of Song of each Writer whose performance is embodied in the said master recording in connection with the advertising, publicizing or sale of up to 500 CDs manufactured therefrom.

Uncoiled Loops reserves the right to permit the public performance, by means of radio broadcast or otherwise (including internet radio) from the said recording without any compensation.  If compesation provided to Uncoiled Loops will be included in net profits.

The Writer agrees to defend, indemnify and save Uncoiled Loops and other involved Writers and any of its licensees, agents and employees free and harmless against any and all claims, suits, liability, loss, damage, judgments, recoveries, cost and expense, including attorney's fees, which may be made or brought, paid or incurred by reason of any breach or claim of breach of the Writer's covenants, warranties and representations hereunder. Uncoiled Loops shall be entitled to designate the defense attorneys engaged in connection therewith. 

Renewal or renegotiation of this agreement is required for manufacturing more than 500 CDs.

The undersigned have read and agree to the preceding terms and conditions.
